These Terms of Use ("Terms") govern your access to and use of the public website operated by Bind Data LLC ("Bind," "we," "us," or "our"), including trybind.com and its public webpages and forms (the "Website").

The Website is a business-to-business marketing and informational website. These Terms do not govern Bind's authenticated customer platform, software integrations, or other paid services. Those products and services are governed by separate written agreements between Bind and its customers.

By accessing or using the Website, you agree to these Terms. If you use the Website on behalf of a company or other organization, you represent that you have authority to act on its behalf.

2. Intellectual Property

The Website and its contents, including text, graphics, designs, logos, trademarks, documentation, software, and other materials made available by Bind, are owned by Bind or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, Bind grants you a limited, non-exclusive, non-transferable right to access and use the Website for lawful informational and business-evaluation purposes.

Except as permitted by applicable law or authorized by Bind in writing, you may not:

Nothing in these Terms transfers ownership of any Bind intellectual property to you.

3. Prohibited Conduct

Submitting information through the Website does not:

You retain your rights in information you submit.

Bind's handling of personal information collected through the Website is described in our Privacy Policy.

5. Third-Party Products, Services, and Trademarks

The Website may identify, describe, or link to third-party software platforms, applications, integration providers, business partners, or websites.

Third-party names, trademarks, and logos belong to their respective owners.

Unless Bind expressly states otherwise, a reference to a third-party company or product does not mean that Bind is sponsored by, endorsed by, certified by, or affiliated with that third party.

Bind does not control third-party websites or services and is not responsible for their content, availability, security, products, services, or privacy practices.

6. Information About Bind's Services

The Website provides general information about Bind, its services, integrations, capabilities, and potential use cases.

Website content does not constitute a contractual commitment that Bind will provide any particular integration, feature, functionality, implementation, compatibility, service level, price, timeline, or result.

Any services provided by Bind are governed exclusively by the applicable written agreement between Bind and the customer, including any applicable statement of work, order form, or other incorporated document.

Bind may update or change Website content or functionality at any time.

7. Website Disclaimer

To the fullest extent permitted by law, the Website and its content are provided on an "as is" and "as available" basis.

Bind does not warrant that:

Nothing in these Terms limits or modifies an express representation, warranty, service commitment, or obligation contained in a separate written customer agreement with Bind.

8. Limitation of Liability

To the fullest extent permitted by law, Bind and its affiliates, officers, directors, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to access to or use of, or inability to access or use, the public Website.

To the fullest extent permitted by law, the aggregate liability of Bind and those parties for all claims arising solely from use of the public Website will not exceed one hundred U.S. dollars ($100).

These limitations do not apply to liability that cannot lawfully be excluded or limited.

This Section applies only to claims relating to the public Website. Liability relating to Bind's paid products or services is governed by the applicable customer agreement.

9. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Any judicial proceeding arising from these Terms or use of the Website will be brought exclusively in the state courts located in San Mateo County, California, or the United States District Court for the Northern District of California, and you consent to the jurisdiction and venue of those courts.

10. Changes to These Terms

Bind may update these Terms from time to time.

When we do, we will post the revised Terms on the Website and update the effective date above.

Revised Terms apply prospectively from the date they are posted.

11. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

Bind's failure to enforce a provision does not waive its right to enforce that provision later.

These Terms constitute the entire agreement concerning use of the public Website. They do not replace or modify any separate customer agreement, statement of work, order form, nondisclosure agreement, data processing addendum, or other written agreement between Bind and a customer or other contracting party.
